For managers and employees, JMO have zero tolerance for any illegal commercial activities. We strictly abide by the principle of avoiding conflicts of interest and shall not accept all private commissions, kickbacks or other forms of interest that are obviously improper.
JMO hereby sincerely requests that your managers and employees should also abide by the above-mentioned ethical requirements of JMO’s managers and employees. Never provide any improper commissions, kickbacks or other forms of interest for managers and employees or their relatives by yourself or through a third party. If it exposed later by JMO, we has the right to terminate of any contracts and orders which are agreed by each other and all losses may request damages from you, it will deduct from the contract price that should be paid.

Employee welfare measures

In addition to general benefits such as national labor insurance, national health insurance, group insurance, and pension benefits, the employees are provided with performance bonuses, work allowances, employee bonuses, wedding and funeral allowances, company trip, and training courses. In accordance with Labor Pensions Statutes, the pension payment is based on the “Monthly Contribution Wages Classification of Labor Pension”, which pays 6 percent of the salary to the labor pension personal account set up by the Bureau of Labor Insurance. According to the relevant act and regulations, JMO will handle the retirement procedures in accordance with the act for employees who have reached the retirement age.

JMO and the JMO’s reinvestment companies handle the rights and obligations of employees in accordance with local labor standards, in addition to communicating with employees through public promotion activities and understanding the needs of employees through privately communication, thereby improving the company regulation to achieve a humanized management. Also, we protect our employees' rights and interests in accordance with the relevant local acts and regulations, with a legal employment system and salary standards, and a working environment that meets the requirements of Occupational Safety and Health Act.

While actively expanding its business, Chung Yang Optoelectronics remains firmly committed to fulfilling its corporate social responsibility (CSR). The Company focuses on two key pillars outlined in its CSR Code — Labor and Human Rights and Occupational Health and Safety — as the core of its CSR initiatives.
Its guiding principles are to:

The ultimate goal is to help employees achieve a healthy work-life balance, while fully realizing the Company’s vision of sustainable corporate development.
1. An annual surveillance audit of the ISO 45001 Occupational Health and Safety Management System is conducted by a third-party organization to ensure the continued effectiveness of safety and health practices.
2. A comprehensive Occupational Health and Safety (OHS) management system has been established, covering the following areas:
- Contractor management
- Chemical management
- Workplace environment monitoring
- Hazard identification and safety management for environmental and mechanical equipment
- Emergency response procedures
- OHS education and training
3. Monthly random inspections are conducted for 5S implementation and workplace safety.
4. To strengthen safety awareness, the Company conducts on-the-job safety training and emergency drills on an irregular basis. In 2024, a total of 14 sessions were held, amounting to 350 training hours.
5. For certified safety personnel, a total of 5 license renewals were completed in 2024.
6. Occupational injury management and prevention measures are in place, with a Frequency Severity Indicator (FSI) of 0.11 recorded in 2024.
7. Quarterly Occupational Safety and Health Committee meetings are held to engage with stakeholders. The Committee consists of 15 members, including 9 employee representatives, accounting for 60% of the total — exceeding the minimum legal requirement.
Hazard Identification and Risk Management
The implementation of the ISO 45001 management system includes annual internal and external audits to review the applicability of hazard identification and risk assessment procedures. These procedures are discussed and revised in a timely manner to ensure their continued effectiveness.
When incidents, hazards, risks, or opportunities are identified or reported, or when employees leave a work situation they believe could lead to harm or illness, and in the event of changes or additions to products, services, or processes that may affect the organization of work, the work environment, equipment, workforce, or working conditions — any such changes are reviewed and reassessed accordingly.
Employees who report hazards or dangerous situations to worker representatives, employers, or regulatory authorities are protected. Their employment rights, including non-discrimination, job security, and promotion opportunities, shall not be affected. The organization prohibits any form of retaliation against individuals acting in good faith.

The curtain can be fully closed to ensure the privacy of mothers.

2、Labor human rights educational training and health promotion measures:
1. Enhance the moral of employees: In order to enhance the corporate culture, strengthen the moral of employees, reduce the occupational disasters, improve the health and interpersonal relationships of employees, it promotes the "Improvement of employee moral activities".
2. Health checkups and management operations: Exceeding regulations of labor health checks, and labors’ health are managed, tracked by professional. JMO also committed to health promotion activities such as rolling and weight loss courses. We take highly care of employees’ healthy.
3. Occupational Safety Training Operations: Promote four major projects, including the execution of illegal occupational violations.
4. Workplace maternity protection, abnormal workload, prevention of disease and human carelessness: The Occupational Safety Staff and Occupational Health Service Nurses work together to control the health and benefits of workers.
5. Fire protection: We hires fire protection companies to assist in fire drills, improve personnel's concept of firefighting, and regularly educate and train employees to increase fire knowledge and apply it to daily life to reduce disasters.
Insider Trading Prevention and Integrity Management Policy
The Company conducts at least one insider trading prevention training session per year for insiders, relevant supervisors, and employees. The most recent session was held on April 16, 2024, covering topics such as the causes and recognition of insider trading, real-world case studies, and confidentiality of material information. A total of 42 participants attended the session.
Zhong Yang Optoelectronics follows the Taiwan Stock Exchange Corporation’s Procedures for Verification and Disclosure of Material Information of Listed Companies and the Corporate Governance Best Practice Principles for TWSE/TPEx Listed Companies. At the end of each year, a compliance calendar is distributed to insiders as a reminder to refrain from trading company shares during blackout periods — 30 days prior to the annual financial report announcement, and 15 days prior to each quarterly financial report. No insider trading incidents were reported in 2024.
As part of its commitment to ethical corporate conduct, Zhong Yang provides all new employees with special orientation training on integrity policies. In 2024, 15 new employees received this training during onboarding.
To further strengthen ethical awareness among insiders, all personnel are required to sign a declaration pledging not to engage in any illegal or unethical conduct or violate fiduciary duties. The implementation of the integrity management policy is reported to the Board of Directors at least once a year, with the most recent report delivered at the Board meeting on November 11, 2024.
